These Terms & Conditions ("Terms") govern all services provided by AGS Creation ("we", "us", "the Company") including website development, app development, AI & automation solutions, e-commerce solutions and related digital services ("Services"). By engaging our Services, making a payment on this website, or approving a proposal, you ("Client") agree to these Terms.

1. Scope of Work

• The scope of each project is defined by the written proposal, quotation, invoice or chat/email confirmation shared with the Client. Anything not expressly listed is out of scope.
• Changes or additions to the agreed scope will be charged separately and may revise the delivery timeline.

2. Payments

• Work begins only after receipt of the agreed advance payment. All invoices are payable as per the schedule mentioned in the proposal/invoice.
• Payments are processed securely through Cashfree Payments. We do not store your card, UPI or banking credentials.
• All fees are exclusive of applicable taxes unless stated otherwise.
• If an invoice remains unpaid beyond 15 days of its due date, we may pause work, withhold deliverables, and take deployed work offline until payment is received.

3. Client Responsibilities

• The Client will provide content, credentials, approvals and feedback in a timely manner. Delays from the Client's side extend timelines accordingly and do not entitle the Client to a refund.
• The Client confirms that all material supplied to us (text, images, logos, data) is owned by or licensed to the Client. The Client indemnifies the Company against third-party claims arising from such material.

4. Timelines & Delivery

• Delivery dates are good-faith estimates, not guarantees. Timelines depend on timely Client inputs and third-party services beyond our control.
• A deliverable is deemed accepted if the Client does not report issues in writing within 7 days of delivery.

5. Intellectual Property

• Ownership of final deliverables transfers to the Client only upon receipt of full and final payment. Until then, all work remains the property of the Company.
• We may reuse general know-how, frameworks, libraries and internal tools, and may showcase completed non-confidential work in our portfolio unless agreed otherwise in writing.

6. Third-Party Services

Domains, hosting, SSL, APIs, plugins, licenses and payment gateways are third-party services governed by their own terms and fees. We are not responsible for their downtime, policy changes or pricing. Costs paid to third parties are non-refundable.

7. Support & Maintenance

Unless a maintenance plan is purchased, our responsibility ends at delivery/deployment. Bug fixes for issues reported within 15 days of delivery that fall within the original scope are covered free of charge; anything else is billable.

8. Limitation of Liability

• To the maximum extent permitted by law, the Company's total aggregate liability for any claim shall not exceed the amount actually paid by the Client for the specific service giving rise to the claim.
• We are not liable for indirect, incidental or consequential losses including loss of profit, data, business or reputation.

9. Termination

Either party may terminate a project in writing. On termination, the Client shall pay for all work completed up to the date of termination, and the Refund Policy shall apply to any advance already paid.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Indore, Madhya Pradesh shall have exclusive jurisdiction over any dispute.
